Elizabeth S. Lutes & Vicki M. Nielsen

Elizabeth Lutes is Keynote Speaker at Compliance key Inc. She is Senior Vice President, has been leading Transition Services, Inc. for fourteen years. She is also responsible for human resources, planning, and communication for TSI's parent company, the RVI Group.
Prior to joining the TSI and RVI teams in 2003, Elizabeth spent 20 years working in private, non-profit, and corporate environments empowering people to see new possibilities and achieve new levels of personal and organizational performance. For 12 years Elizabeth directed the Youth at Risk program, a community-based, volunteer-intensive transformational program for young people at risk, active in 25 cities in the US and in the UK. She then moved into the corporate world, bringing her facilitation, leadership coaching, and consulting skills to large-scale organization transformation initiatives. Elizabeth has attended Yale University and holds a B.A. from San Francisco Conservatory of Music.

Vicki M. Nielsen is Keynote Speaker at Compliance key Inc. Ms. Nielsen is a member of the employee benefits and executive compensation group at Ogletree Deakins. She has worked extensively in the areas of executive compensation arrangements, equity compensation and benefits provided to executives, employees, directors and independent contractors.
She has experience with all issues relating to executive compensation arrangements, including Code 409A, performance-based compensation, and Code 162(m), equity compensation, change in control agreements, golden parachute taxes and Code 280G; executive fringe benefits; executive compensation disclosure issues (Item 402 S-K); Sarbanes-Oxley and Dodd-Frank compliance and other related corporate governance requirements and proxy advisory firm policies.
She also routinely advises clients regarding fringe benefit plans, severance plans, supplemental unemployment compensation benefit plans (SUB pay), worker classification, employment taxes and related reporting and withholding requirements, and tax minimization.
